1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of services provided by Brilliant Minds Center SPS LLC ("Brilliant Minds," "we," "our," or "us"). By using our services, website, or enrolling in our programs, you agree to be bound by these Terms. If you do not agree, you should refrain from engaging with our services.

2. Scope of Services

Education and Training Programs – Structured learning for kids, teens, and professionals.

Corporate Engagements – Customized training programs for companies and organizations.

Workshops and Events – Short-term skill enhancement sessions.

Online and Blended Learning – Digital and hybrid course delivery.

3. Account Creation and User Obligations

Users must ensure account information is accurate and updated.

Account holders must be over 18 years of age or have parental/guardian consent if under 18.

Account security is the user’s responsibility. Brilliant Minds is not liable for unauthorized access due to weak or compromised credentials.

4. Payment Terms and Conditions

Payments can be made via credit/debit cards, bank transfers, cash, or cheques (subject to clearance).

Invoices must be settled prior to course commencement unless specified otherwise in a contract.

Installment plans are available on a case-by-case basis and subject to approval.

Brilliant Minds reserves the right to suspend services for unpaid fees or late payments.

5. Refund and Cancellation Policy

Cancellations made 7 days prior to the course start date are eligible for a partial refund.

Refund Exceptions: No refunds will be provided for cancellations made after the course starts, except under exceptional circumstances at the discretion of Brilliant Minds.

Brilliant Minds may cancel courses due to unforeseen circumstances or low enrollment. A full refund or rescheduling option will be offered.

6. Intellectual Property Rights

All course materials, tools, and resources are the intellectual property of Brilliant Minds Center SPS LLC or its partners.

No course content, visuals, or proprietary data may be replicated, distributed, or resold without prior written consent.

7. Confidentiality and Non-Disclosure

Confidential Information: Users may access sensitive information during engagements with Brilliant Minds. This information is considered confidential and proprietary.

Users agree:

Not to disclose confidential information to third parties without written consent.

To return or destroy all confidential materials upon completion of the engagement.

To maintain confidentiality even after program completion or engagement termination.

8. Conflict of Interest

Non-Compete Agreement: Users, including students, contractors, corporate partners, and staff, agree not to engage in any activity, employment, or partnership that directly competes with Brilliant Minds Center SPS LLC during and for a period of 12 months after program completion.

Misuse of Information: Users agree not to use course materials, methodologies, strategic content, or teaching expertise obtained from Brilliant Minds for personal gain, to create competing services, or to train others outside the scope of the agreed program.

Notification of Conflict: Users must disclose any affiliations or engagements that could create a conflict of interest with Brilliant Minds' operations, training methods, or business activities.

Breach of Clause: Violation of this clause may result in legal action, termination of access to Brilliant Minds' services, and financial penalties to recover damages.

9. Code of Conduct

Users must respect instructors, peers, and facility guidelines.

Disruptive behavior, harassment, or violation of institute policies may result in immediate removal without a refund.

Users must adhere to all local laws and regulations while participating in Brilliant Minds programs.

10. Limitation of Liability

Brilliant Minds will not be liable for:

Losses resulting from misuse of services.

Indirect, incidental, or consequential damages.

Service interruptions due to third-party failures.

Liability is limited to the amount paid for services or courses by the user.

11. Force Majeure

Brilliant Minds shall not be held responsible for failure to deliver services due to events beyond our control, including but not limited to:

Natural disasters, war, pandemic, or governmental restrictions.

Technical failures, power outages, and network interruptions.

In such cases, Brilliant Minds may postpone services or offer credit to users.

12. Third-Party Engagements and Links

Our website may contain external links. Brilliant Minds is not responsible for third-party websites' content, policies, or practices. Users engage with external links at their own risk.

Any third-party services integrated into our programs will operate under their terms, and Brilliant Minds is not liable for their performance or service quality.

13. Data Protection and User Privacy

All user data is collected and processed under UAE Federal Decree-Law No. 45 of 2021 (PDPL) and in compliance with GDPR for international users.

Our Privacy Policy details how data is collected, used, and stored.

Users may request data access, correction, or deletion by contacting Brilliant Minds.

14. Dispute Resolution and Governing Law

Disputes arising from these Terms will be subject to the exclusive jurisdiction of UAE courts.

Disputes will first attempt to be resolved through mediation or arbitration.

These Terms are governed by the laws of the United Arab Emirates (UAE).

15. Modifications and Updates

Brilliant Minds reserves the right to modify these Terms at any time. Changes will be notified through our website, and continued use of services constitutes acceptance of revised Terms.

Users are encouraged to regularly review these Terms for updates.

16. Termination of Access

Brilliant Minds reserves the right to terminate user access for violations of these Terms or illegal activities.

Users who violate intellectual property, confidentiality, or conflict of interest clauses may face legal action and financial penalties.

17. Indemnification

Users agree to indemnify and hold Brilliant Minds Center SPS LLC, its instructors, affiliates, and staff harmless from claims, damages, losses, or liabilities arising from:

User misconduct or breach of these Terms.

Misuse of intellectual property or confidential data.

Engagement with third-party links or services through our platform.

By enrolling in a program or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
